PARTICIPANT AGREEMENT, WAIVER, AND RELEASE OF LIABILITY
This Participant / Contractor Agreement, Waiver, and Release of Liability Agreement is entered into between [Respiro Wellness LLC], hereinafter referred to as Respiro Retreats and the undersigned participant/contractor, hereinafter referred to as the participant.

POLICIES

Your Health

It is your responsibility to let our teachers know if you have any injuries and to be mindful at
all times of your own body!s capability during Respiro Retreats. If you experience any injury or
discomfort during any activity during Respiro Retreats, then please stop participating immediately.

It is also your responsibility to consult a doctor with an understanding of pilates, yoga and any
other movement/fitness activities to check that you are sufficiently fit and healthy to undertake
any and all retreat/workshop classes and other physical activities that you may choose to do while on Respiro Retreats.

Please advise us of any mental or physical health conditions and dietary requirements before you book. If you have health conditions and dietary requirements that may be affected by the activities offered on Respiro Retreats we reserve the right, for your own wellbeing, to advise you to stop participating.

While all measures are taken to ensure a high standard of health and safety, Respiro Retreats does take place where the land is uneven and we shall not be responsible for any injuries caused by uneven terrain.

Participant understands that if they elect to participate in fitness classes offered by Respiro
Retreats and recognize that these activities may require physical exertion, which could be
strenuous and could result in physical injury, and they are fully aware of
the risks.

By signing below the participant represents and warranties that they are physically fit and have no medical conditions that would prevent participation in the Respiro Retreats activities and
excursions.

Acknowledgements and Risks

Participant assumes full responsibility for any risks, injuries, or damages, known or unknown,
which might incur as a result of participating in Respiro Retreats. Participant acknowledges that participation in Respiro Retreats, including but not limited to
pilates, yoga, meditation, fitness activities, hiking, swimming, massage, and other physical
activities, involves inherent risks. These risks include, but are not limited to:
• Allergic reactions (to food, plants, insects, or environmental factors)
• Mental or emotional distress
• Medical conditions arising from activities (such as dehydration, heart conditions, or heat
exhaustion)
• Accidents or incidents resulting in serious injury or death
• Participant voluntarily assumes all risks associated with attending and participating in Respiro
Retreats.
• We ask that women who are 12 to 28 weeks pregnant provide a letter from their health practitioner specifying that they are fit to travel and able to engage in the activities that we provide.
• Participant warrants that they are aware that all exercise and travel carries risks, and
acknowledge they are participating willingly, and in knowledge of these risks.
• Participant recognizes that Respiro Retreats nor anyone representing Respiro Retreats is not able to provide you with medical advice, and that any information provided should be used as a guideline only. If you have any prior knowledge of health concerns or health risks, you acknowledge that it is your responsibility to seek clearance from a health care professional prior to attending any of Respiro Retreats.
• Participant grants permission to authorize emergency medical treatment as it deems appropriate and agree that such action shall be subject to the terms of this agreement. I understand that Respiro Retreats assumes no responsibility for any injury that might arise out of or in connection with such authorized emergency medical treatment.

Indemnity

In further consideration of being allowed to participate in Respiro Retreats, participants
voluntarily and expressly waive any claim they may have against Respiro Retreats.
Participant agrees to fully indemnify without limitation any owner(s), trainer(s), director(s) or
independent contractor(s), owner of the property where Respiro Retreat is being hosted, against any injury, malpractice, mishap, or accident during any and all interactions with Respiro Retreats away from, or at the primary place of business for Respiro Retreats.

Participant agrees to indemnify and hold harmless Respiro Retreats and each party listed above from any claims, loss or liabilities incurred in defending any claim, damages, expenses, or legal fees arising from their participation in Respiro Retreats, including any claims made by third parties. Participant accepts this waiver in its entirety.

Payment Policy

To reserve a spot on on a Respiro Retreat, a non-refundable booking fee of 50% of the full asking price of Respiro Retreats per person is required upon booking and is not refundable.

Any Payment of any outstanding sums owed (the balance) must be made before and not later than 90 days prior to the first day of Respiro Retreats for Respiro Retreats which you are booking. Any booking that takes place after 90 prior to Respiro Retreats start date will require full payment of Respiro Retreats.

Prices DO NOT include flights, transfers or travel insurance, additional services booked through
the Estate Concierge, incidentals or alcohol.

Travel Insurance

Nobody books a retreat with the intention of canceling it, but unexpected events do occur, so
please consider purchasing travel insurance. It is your responsibility to read and understand our
cancellation policies. Exceptions can not be made for any reason, including weather, injury/illness or personal emergencies. No refunds or credits for failure to attend or failure to complete Respiro Retreats, or arriving late or early.

We recommend that you purchase your our travel insurance. We encourage you to purchase trip cancellation insurance in order that your trip fees will be covered should you or a family have a medical problem prior to your trip or while on your trip. Trip insurance should also be purchased to cover medical expenses in the event you have an accident. We also recommend purchasing Covid related travel insurance.

Travel insurance should cover the activities of Respiro Retreats with us as well as unexpected
cancellation, sickness, losses and all the usual risks

It is your responsibility to organize suitable travel and health insurance. You acknowledge that
Respiro Retreats is not in the business of providing insurance products and cannot be held liable if your failure to arrange suitable insurance coverage leaves you exposed, medically, financially or otherwise.

You understand and acknowledge that it is solely up to the participant that upon booking that you take out an adequate travel insurance policy that covers all items listed in the sample itinerary for your chosen retreat, as well as but not limited to, trip cancellation insurance, and any other activities that which may reasonably be undertaken during the course of Respiro Retreats . As such, the policy and insurance coverage should be valid and in effect for the entire duration of the Respiro Retreats.

Please note, even if you have private health insurance in your Country of Residence, it is unlikely that this insurance will cover overseas trips to the extent required to participate in the
activities organized on a trip with Respiro Retreats.

Please email or bring your policy with you to Respiro Retreats in case of an emergency.

Medical Consent and Insurance

• Participant affirms that they are physically and mentally capable of participating in all
activities.
• Participant agrees to inform Respiro Retreats of any pre-existing medical conditions, injuries,
allergies, or dietary restrictions before the start of Respiro Retreats.
• In the event of an emergency, Respiro Retreats is authorized to obtain medical treatment for the Participant, at the participants expense.
• Participant acknowledges that they are responsible for their own medical insurance and any costs incurred due to injury or illness during Respiro Retreats.

Cancellations Policy: Guest Cancellations

Please note that because Respiro Retreats is limited to a number of attendees to allow for a more personable experience, our cancelation policy is in place to help participants and us alike to work together sharing expenses that may arise from unexpected cancelations.

If you need to cancel any retreat with Respiro Retreats, cancellation fees will apply. Any notice
of cancellation must be provided in writing.

Please refer to the following for a breakdown of applicable cancellation fees:

There is no cooling-off period when purchasing or booking any of Respiro Retreats. A 50% deposit is due upon booking. Event deposits are non-refundable.

If you cancel 90 days or more before Respiro Retreats start date, you will be able to transfer the
full amount paid up to that date (minus non-refundable deposit) to another Respiro Retreats in the following calendar year (365 days). Please note: This excludes the 50% deposit per person which is non-refundable.

Refunds for Respiro Retreats paid will not be given for any reason if you cancel less than 90 day before the retreat due to the intimate group size and commitment to excellence for all guests.

Due to our need to commit to intimate, private accommodations, and exclusive use to the Respiro Retreats properties and other pre arranged arrangements in advance, exceptions to our policy cannot be made for any reason.

Late Arrivals/Early Departures:

We do not offer credit for arriving late to Respiro Retreats or departing early.

If for any reason Respiro Retreats has to cancel of any Respiro Retreats, for any reason
whatsoever, you!re entitled to transfer the sums paid to another Respiro Retreats (either scheduled or at some future time within the next year to be used as credit) No refunds will be issued. Respiro Retreats is not responsible for your expenses incurred in preparation for any cancelled retreats such as other accommodation, airline tickets, loss of work, and/or other costs associated with preparing for your trip.

Third Parties

Respiro Retreats holds no responsibility for the actions or omissions of third parties or
independent contractors, including in the event that they modify the nature of a service on a
Respiro Retreats as compared with the advertised nature of the service.

Further, Respiro Retreats accepts no responsibility for delayed, missed or cancelled flights,
buses, ferries, transfers, or any other modes of transportation required by you to get to Respiro
Retreats accommodation, or any other activity or event in connection with or relating to Respiro
Retreats.

General Waiver

You agree to sign a waiver with Respiro Retreats at least 90 days before Respiro Retreats Start
Date.

You acknowledge that during any trip with Respiro Retreats you participate voluntarily in any and all activities arranged, and insofar as is legally permissible, you surrender your right to any
cause of action against Respiro Retreats, their agents, contractor!s, employee!s and directors,
arising from any loss or damage to any person or property that occurs during an Respiro Retreats trip, up to and including death. All health issues including allergies MUST be disclosed at the time of booking.

Respiro Retreats is not suitable for children under the age of 18 years or for individuals with
physical disabilities that cannot take care or responsibility for themselves as we do not have the
resources or expertise. There are areas of Respiro Retreats that people with mobility issues may not be able to access.

Assumption of Responsibility

• Participant is responsible for their personal belongings and valuables. Respiro Retreats is not
liable for any loss, theft, or damage.
• Participant understands that all activities, including optional excursions, are voluntary, and
they assume full responsibility for their choices.

Code of Conduct

Participant agrees to:
• Follow all rules, instructions, and guidelines provided by Respiro Retreats.
• Respect fellow participants, staff, and Respiro Retreats environment.
• Refrain from illegal substances, excessive alcohol consumption, or disruptive behavior.
• Acknowledge that Respiro Retreats has the right to remove any participant who violates these
terms without a refund.

Force Majeure

Respiro Retreats shall not be liable for cancellations, changes, or interruptions due to unforeseen events beyond its control, including but not limited to natural disasters, pandemics, or political unrest.

Exclusions

All information provided on the website and any written and verbal form of correspondence is
correct at the time of publication. However, due to mechanical faults, weather conditions, or what insurers call “Acts of God!, some amenities may be temporarily unavailable. Very occasionally, we may have to vary the advertised program due to staff sickness or other unforeseen problems, in which case we will always try to provide an equivalent replacement.

Team Members and Classes

In the event of one of the team members becoming injured, ill or any emergency situation that
forces them to leave Respiro Retreats, then this may impact on Respiro Retreats plan, in terms of the pilates/yoga or fitness classes or talks being cancelled. We will do whatever we can to adapt to the situation and reduce the impact this may have on Respiro Retreats experience; however we may not be able to get a substitute team member out. Respiro Retreats will continue to run however
things will be adjusted to reflect the team situation. There will be no refunds or compensation to
reflect the change in team situation.

Respiro Retreats will not accept liability for:

In consideration for being allowed to participate, the Participant, on behalf of themselves, their
heirs, assigns, personal representatives, and next of kin, hereby releases, waives, and discharges Respiro Retreats, its owners, officers, employees, agents, contractors, affiliates, and any other representatives from any and all liability, claims, demands, actions, or causes of action arising from any loss, damage, injury, or death that may be sustained while attending or participating in Respiro Retreats, whether caused by negligence or otherwise.
• Any of the above events, or others beyond our control.

• Loss, injury, or damage (to you) or your personal property.

• Physical, medical or psychiatric conditions developing during or after Respiro Retreats.

• Check that your travel insurance policy covers these and other contingencies.

Photo / Video Release – Use of Image

You hereby grant to Respiro Retreats has the absolute and irrevocable right, and unrestricted
permissions to use photographic portraits/images/videos in which you feature that are taken during Respiro Retreats to use/republish/copyright, etc. for commercial use in association with Respiro Retreats.

Participant grants permission for Respiro Retreats to use photos or videos taken during Respiro
Retreats for promotional purposes unless otherwise stated in writing before the event.
You hereby release and discharge Respiro Retreats from any and all claims and demands arising out of or in connection with the use of the photographs and video footage, including without limitation any and all claims for libel or invasion of privacy.

By booking any retreat with Respiro Retreats you agree to be bound by and adhere to all policies and rules.

Complaints

We are confident that you will not find cause for concern during a Respiro Retreats. If you feel
that a complaint is warranted you must raise the issue directly with our Director. Any retrospective complaint must be made in writing to Respiro Retreats within 7 days of the end of the attending Respiro Retreats.

We do not store credit card details nor do we share customer details with any 3rd parties. Any
personal information that you provide to us will be used only for the service you requested. We do not automatically capture or store personal data from visitors to the site, except to log the
user!s IP address and session information such as the duration of the visit to the site and the
nature of the browser used. This information is used only for administration of the site system and in the compilation of statistics used by us to assess the use of the site. This contract is entered into under the laws of the United States of America and United Kingdom and in agreeing to these terms and condition you are doing so on behalf of yourself and any other parties included in your booking.

Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of [Wyoming]. Any disputes shall first be attempted to be resolved through mediation before resorting to legal action. By checking/signing this document, Participant affirms that they have read and understood this Agreement in its entirety, agree to its terms, and voluntarily sign it as a condition of participation.
